Terms of Use

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and SapioChain (“SapioChain,” “we,” “us,” “our”), a company under formation in France, concerning your access to and use of our services.

By creating an account or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use our services.

1. Acceptance of Terms

By using the application, the user agrees to be bound by these T&Cs.
By accessing, browsing, or using Sapiochain application (“the Application”), including but not limited to the web interface, mobile applications, and any related services, you (“User” or “You”) acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions (“Terms”). This Agreement constitutes a legally binding contract between you and Sapiochain (“we,” “us,” or “our”).

If you do not agree to all of these Terms, please do not access or use the Application. Your use of the Application constitutes your unconditional agreement to these Terms. These Terms are effective as of July 6th 2025. We reserve the right to modify these Terms at any time, and any changes will be posted prominently on our website https://sapiochain.io/terms_conditions/ and will be effective as of the date indicated in the revised Terms. Your continued use of the Application after the posting of revised Terms constitutes your acceptance of those changes. Please review these Terms periodically.

2. Definitions

• Service refers to the platform, software, websites, and services provided by SapioChain for connecting devices, managing Internet of Things (IoT) data, and providing related analytics and processing capabilities.
• User Data means all electronic data or information submitted by you to the Service, including temperature readings, GPS locations, and product stability information.
• Hardware refers to the physical temperature dataloggers, sensors, or any other devices used to collect User Data, which are provided by you or third parties, not by SapioChain.

3. Service Description and Scope

SapioChain provides a platform to connect devices, store and analyze Loggers Data and generate insights. For example, a primary use is to assess the stability of temperature-sensitive goods. The Service includes features for automated analysis, reporting, and data sharing as directed by the User.

Limitations: The Service is a data processing and reporting tool. SapioChain is not responsible for the functioning, accuracy, calibration, or integrity of the Hardware used to collect the data. Our Service’s output is entirely dependent on the quality and accuracy of the User Data you provide. Users are responsible for ensuring that Hardware meets applicable calibration and accuracy standards (e.g., ±0.5°C) and is validated according to their regulatory requirements. SapioChain does not perform or guarantee hardware calibration or validation services.

4. User Accounts

• Eligibility: To use the Service, you must have the legal capacity to enter into a binding contract. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
• Account sharing: Sharing accounts are prohibited. You should create one account by user using the platform. The platform is providing sharing capabilities, so users can choose themselves to share their data with other users.

5. License and Grant restriction

• Acceptable Use: You agree not to misuse the Service. This includes, but is not limited to:
  • Using the Service for any illegal or unauthorized purpose.
  • Attempting to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Service.
  • Users get a limited, non-exclusive, non-transferable license to use the application.
  • Uploading invalid data, viruses, worms, or other software agents through the Service.
  • Attempting to reverse-engineer any part of the Service.

6. User Data and License Grant

• Ownership: You retain all ownership rights to your User Data. We do not claim any ownership over it.
• License to Us: To provide the Service, you grant SapioChain a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, create derivative works (such as reports and analytics), and display your User Data solely for the purposes of operating, improving, and protecting the Service. Derivative works are limited to reports, analytics, and performance metrics generated for your account. We may not create aggregated analytics combining your data with other users' data without explicit consent, except for anonymized, industry-wide benchmarking clearly labeled as such.

7. User Responsibilities

• Data Accuracy: You are solely responsible for the accuracy, quality, and legality of your User Data, including ensuring that product stability information is correct.
• Hardware Management: You are responsible for correctly matching Hardware with the appropriate products and for the proper functioning and use of that Hardware.

8. Intellectual Property

All rights, title, and interest in and to the Service, including all software, content, branding, and logos, are and will remain the exclusive property of SapioChain and its licensors. These Terms do not grant you any right to use the SapioChain name or any of our trademarks or logos.

9. Disclaimers and Limitation of Liability

• “As Is” Service: The Service is provided “as is” and “as available” without any warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the service will be uninterrupted or error-free.
• No Responsibility for Products: SapioChain is not responsible for the actual status, quality, or condition of the products being monitored. Our service only reflects the User Data provided.
• Limitation of Liability: Our liability shall not exceed the fees paid in the 12 months preceding the claim, except that we shall not be liable for any loss of goods, lost profits, or consequential damages arising from product spoilage, which risks are borne entirely by you as the goods' owner.
• Indemnity: You agree to defend, indemnify, and hold harmless SapioChain and its employees from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the Service or your violation of these Terms.

10. Termination

• By You: You may terminate your account at any time by contacting privacy@sapiochain.io.
• By Us: We may suspend or terminate your access to the Service at any time, with or without cause, if you violate these Terms or misuse the Service.
• Effect of Termination: Upon termination, your right to use the Service will immediately cease. Data retention and deletion are governed by our Privacy Policy. We will provide you with the ability to export your User Data for a reasonable period following termination, upon your request.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes that are material, we will provide you with at least thirty (30) days’ notice before the new terms take effect, either by notifying you through the Service or by sending an email to the address associated with your account. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of France, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of France. The parties agree to first attempt to resolve any dispute amicably before initiating formal legal proceedings.

14. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and SapioChain concerning the Service.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Notices: Any notices or other communications provided by SapioChain under these Terms will be given by posting to our website or by email to the address you provide.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
